1. Agreement to Terms

Welcome to VenturePath. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and VenturePath ("we," "us," "our," or the "Company"), governing your access to and use of the website located at venture-path.ai and all related services, features, content, and applications (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

To use VenturePath, you must:

Be at least 18 years of age.
Be a legal resident of the United States or have the legal capacity to enter into a binding agreement under the laws of your jurisdiction.
Provide accurate, current, and complete information during registration and keep your account information updated.

By using the Service, you represent and warrant that you meet all eligibility requirements. If you are using the Service on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

3. Description of Service

VenturePath is a financial education and credit-building platform that provides:

Educational Content: Structured learning modules, articles, and resources about credit scores, credit cards, and personal finance ("Knowledge").
AI Coach: An AI-powered coaching feature that provides personalized credit education guidance based on your self-reported profile data.
Card Recommendations: Curated credit card suggestions based on your self-reported credit profile, goals, and financial situation.
Sprint Challenges: Gamified 30-day credit-building action plans with experience points (XP) and streak tracking.
Simulations: Interactive financial scenario tools for educational purposes.
Profile & Progress Tracking: Tools to track your credit-building journey and learning progress.

4. Important Disclaimers

4.1 Not Financial Advice

VenturePath is an educational platform. We do not provide financial advice, investment advice, credit counseling, credit repair services, or any other professional financial services.

All content on VenturePath — including AI Coach responses, card recommendations, educational materials, simulations, and Sprint challenges — is provided for informational and educational purposes only. This content should not be construed as personal financial advice tailored to your specific circumstances.

Before making any financial decisions, including applying for credit cards, taking on debt, or making changes to your financial strategy, you should consult with a qualified financial advisor, credit counselor, or other appropriate professional who can evaluate your individual situation.

4.2 No Guarantee of Results

We do not guarantee that using VenturePath will result in any specific improvement to your credit score, approval for any credit card, or any particular financial outcome. Credit scores are determined by credit bureaus based on numerous factors beyond the scope of this Service. Individual results will vary.

4.3 Self-Reported Data

VenturePath's recommendations and educational content are based on information you provide (such as your estimated credit score range, credit history age, and financial goals). We do not independently verify this information. The accuracy and relevance of our content depends on the accuracy of the information you provide.

4.4 AI Coach Limitations

The AI Coach feature uses artificial intelligence to provide educational responses. While we strive for accuracy, AI-generated content may occasionally contain errors, outdated information, or responses that may not be fully applicable to your specific situation. The AI Coach is not a substitute for professional financial advice.

4.5 Third-Party Credit Card Products

Credit card recommendations on VenturePath link to third-party financial institutions. We do not control and are not responsible for:

The approval or denial of any credit card application.
The terms, conditions, interest rates, fees, or rewards of any credit card product.
Changes to credit card offers or their availability.
Any actions taken by the card issuer or financial institution.

We encourage you to carefully review all terms and conditions of any financial product before applying.

5. Advertiser Disclosure

VenturePath may receive compensation from credit card issuers and affiliate partners when you apply for credit cards through links on our platform. This compensation does not affect our editorial content or the order in which card recommendations appear. Our recommendations are based on your credit profile and financial goals.

6. Subscription Plans and Payments

6.1 Free and Pro Plans

VenturePath offers two subscription tiers:

Free Explorer: Access to limited features at no cost, including basic Knowledge content, limited AI Coach interactions (10 per month), and basic card recommendations.
VenturePath Pro: Full access to all features for $29.99 per month or $239.00 per year, including unlimited AI Coach access, all Sprint templates, Simulations, and advanced features.

6.2 Free Trial

New Pro subscribers may be eligible for a 7-day free trial. During the trial period, you will have full access to Pro features. If you do not cancel before the trial period ends, your payment method will be automatically charged the applicable subscription fee.

6.3 Billing and Payment

All payments are processed securely through Stripe, Inc. By subscribing to VenturePath Pro, you authorize us to charge the applicable subscription fee to your payment method on file.
Subscriptions automatically renew at the end of each billing period (monthly or annual) unless canceled before the renewal date.
All fees are stated in U.S. dollars (USD).

6.4 Cancellation

You may cancel your Pro subscription at any time through the "Manage Subscription" option on your Settings page, which will redirect you to the Stripe customer portal.
Upon cancellation, you will retain access to Pro features until the end of your current billing period. After that, your account will revert to the Free Explorer plan.
We do not provide prorated refunds for partial billing periods.

6.5 Refund Policy

If you are charged after a free trial and wish to request a refund, please contact us at support@venture-path.org within 7 days of the charge. We will evaluate refund requests on a case-by-case basis.
Refunds are not guaranteed and are issued at our sole discretion.

6.6 Price Changes

We reserve the right to change subscription prices at any time. If we change the price of your subscription, we will notify you at least 30 days in advance. The new price will apply at the start of your next billing period after the notice.

7. User Accounts

7.1 Account Registration

To access certain features of the Service, you must create an account by providing a valid email address and creating a password. You are responsible for:

Maintaining the confidentiality of your login credentials.
All activities that occur under your account.
Notifying us immediately of any unauthorized use of your account.

7.2 One Account Per User

Each user may maintain only one account. Creating multiple accounts to circumvent usage limits, earn additional trial periods, or for any other purpose is prohibited.

7.3 Account Termination

We reserve the right to suspend or terminate your account at any time if:

You violate these Terms.
You provide false or misleading information.
You engage in abusive, fraudulent, or illegal activity.
Your account has been inactive for an extended period (12+ months).

We will make reasonable efforts to notify you before terminating your account, except in cases of serious violations or legal requirements.

8. Acceptable Use

When using VenturePath, you agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
Attempt to gain unauthorized access to any part of the Service, other user accounts, or any systems or networks connected to the Service.
Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Service or any part thereof.
Use automated systems (bots, scrapers, crawlers) to access the Service without our prior written consent.
Interfere with or disrupt the integrity or performance of the Service.
Reproduce, duplicate, copy, sell, resell, or otherwise exploit any portion of the Service without our express written permission.
Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
Transmit any viruses, malware, or other harmful code.
Use the AI Coach to generate content that is offensive, harmful, discriminatory, or that violates any laws.
Share your account credentials with others or allow others to access the Service through your account.
Misrepresent your credit profile data in a manner intended to obtain inappropriate recommendations.

9. Intellectual Property

9.1 Our Content

All content on VenturePath — including text, graphics, logos, icons, images, audio, video, software, educational materials, course content, Sprint templates, Simulation scenarios, and the design and layout of the Platform — is the property of VenturePath or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial educational purposes, subject to these Terms. This license does not include the right to:

Modify, reproduce, or distribute any content from the Service.
Use any content for commercial purposes without our written permission.
Remove any copyright, trademark, or other proprietary notices from our content.

9.3 User Content

You retain ownership of any content you submit through the Service (such as AI Coach messages, profile information, or feedback). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely for the purpose of providing and improving the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
IN NO EVENT SHALL VENTUREPATH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
WE ARE NOT LIABLE FOR ANY DECISIONS YOU MAKE BASED ON INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING CREDIT CARD APPLICATIONS, FINANCIAL DECISIONS, OR ANY OTHER ACTIONS TAKEN IN RELIANCE ON THE SERVICE'S CONTENT.

11. Indemnification

You agree to indemnify, defend, and hold harmless VenturePath and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Service.
Your violation of these Terms.
Your violation of any rights of another party.
Any content you submit through the Service.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.

12.2 Informal Resolution

Before filing any formal legal proceedings, you agree to first contact us at support@venture-path.org to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.

12.3 Arbitration

If the dispute cannot be resolved informally, you and VenturePath agree to resolve any disputes through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in the State of New Jersey. Each party shall bear its own costs and attorney fees.

12.4 Class Action Waiver

YOU AND VENTUREPATH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12.5 Exceptions

Nothing in this section shall prevent either party from seeking injunctive or equitable relief in any court of competent jurisdiction for matters related to intellectual property rights or unauthorized access to the Service.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

If we discontinue a paid feature that you are actively using, we will provide reasonable notice and, at our discretion, issue a prorated refund or credit.

14. Modifications to These Terms

We may update these Terms from time to time. When we make material changes, we will:

Update the "Last Updated" date at the top of these Terms.
Notify you through the Platform or via email.
Provide at least 14 days' notice before material changes take effect.

Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and may cancel your subscription.

15. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and Advertiser Disclosure, constitute the entire agreement between you and VenturePath regarding the Service.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure: We shall not be liable for any failure to perform our obligations under these Terms if the failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, or failures of third-party services.
